("iTELL," "we," "us," or "our") collects, uses, discloses, and safeguards information when you access or use the iTELL platform, including our web application, integrations, APIs, and related services or engage with our sales, marketing or other events (collectively, the "Services").

1. Scope of This Policy
iTELL provides an AI-powered learning experience layer that converts customer-provided content into interactive learning experiences. This Policy applies to:
- Website visitors
- Platform administrators
- Learners and end users
- Instructors and researchers
- Prospective customers, partners, and job applicants
This Policy does not apply to third-party websites, LMS platforms, or services that integrate with iTELL.
2. Controller vs. Processor Role
iTELL operates in two distinct capacities:
When iTELL Acts as a Controller
We are the data controller when we collect personal information directly from you, including:
- Website inquiries
- Demo or pilot requests
- Sales & marketing communications
- Job applications
- Account creation for platform administrators
When iTELL Acts as a Processor
When you access iTELL through your employer, school, or organization ("Customer"):
- The Customer is the data controller
- iTELL processes personal data solely on the Customer's instructions
- iTELL does not determine how learner data is used beyond providing the Services

3. Information We Collect
A. Information You Provide Directly
We collect personal information that you voluntarily submit to us in connection with your use of the Services, including when you register for an account, request information, participate in platform activities, communicate with us, or otherwise engage with iTELL.
The specific personal information collected depends on the context of your interaction with the Services and your configuration choices. The categories of personal information that may be collected include the following:
Account & Identity Information
- Name
- Email address
- Username
- Organization name
- Job title
- Authentication credentials (hashed)
Learning & Platform Data (Customer-Enabled)
- Learner identifiers (assigned by Customer)
- Course progress and completion status
- Time-on-task and interaction metadata
- Written responses, summaries, and assessments
- AI chat interactions related to learning support
- Instructor or administrator feedback
Login and Authentication Data
We may offer the ability to register for or access the Services using third-party authentication services, including but not limited to Google or Microsoft. Where you elect to use such services, we may collect limited profile and authentication information made available by the third-party provider, subject to your settings and permissions with that provider, as further described in "How Do We Handle Your Logins?" below.
You represent and warrant that all personal information you provide to us is accurate and up to date, and you agree to update such information as necessary to maintain its accuracy.

B. Information Collected Automatically
We automatically collect certain technical and usage data when you access or use the Services. Such data does not generally include direct identifiers such as your name or contact information, but may include IP address, device and browser information, operating system details, language settings, referring URLs, approximate geographic location, and usage activity associated with your interaction with the Services.
This information is used for purposes including maintaining the functionality and security of the Services, monitoring performance, detecting and preventing misuse, and conducting internal analytics and reporting.
C. Cookies and Similar Technologies
We use cookies and similar technologies to:
- Maintain sessions
- Authenticate users
- Ensure platform functionality
- Analyze aggregate usage
We do not currently use cookies for cross-context behavioral advertising.
Log and Usage Data
We automatically collect log and usage data generated by your access to and use of the Services. This data includes service-related, diagnostic, usage, and performance information that our systems record in log files. Depending on how you interact with the Services, such information may include IP address, device identifiers, browser type and settings, timestamps, pages or files accessed, search queries, feature usage, system activity, error and crash reports, and other technical events associated with your use of the Services.
Device Information
We collect information about the device you use to access the Services, such as a computer, mobile phone, tablet, or other device. Device information may include IP address or proxy server, device and application identifiers, browser type, hardware model, operating system, Internet service provider or mobile carrier, and system configuration settings. This information is used to ensure compatibility, performance, security, and proper functioning of the Services.
Location Information
We may collect limited location information derived from your device or network connection, such as approximate geographic location inferred from an IP address. The type and level of location data collected depend on your device settings and permissions. You may restrict or disable location information through your device settings; however, doing so may limit certain functionality or features of the Services.

D. Google API
Our use of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.
Information We Do Not Use
To reduce risk and protect users, iTELL does not knowingly collect:
- Social Security numbers
- Government-issued identification
- Biometric data
- Genetic data
- Health or medical records
- Precise geolocation data
- Sensitive demographic attributes unless explicitly required by a Customer*
*In limited circumstances, certain features or activities made available through the Services may be governed by separate notices or consents, which will control the collection and use of any information subject to such notices and may supplement or supersede this Privacy Policy for those purposes.
4. How We Use Information
We process personal information as reasonably necessary to operate, deliver, and improve the Services, to fulfill our contractual obligations, and to support our legitimate business operations. The purposes for which we process personal information depend on how you interact with the Services and may include the following:
Account Creation, Authentication, and Administration. To create, authenticate, manage, and maintain user accounts; enable secure access to the Services; provide customer support; and administer user permissions, preferences, and settings.
Provision and Operation of the Services. To deliver, operate, maintain, and support the functionality of the Services, including enabling learning experiences, content delivery, analytics, reporting, and other features requested or configured by Customers.
Transaction and Billing Management. To process purchases, subscriptions, invoices, payments, refunds, and related administrative matters, and to communicate with you regarding transactions and account status, where applicable.
Product Development and Service Improvement. To monitor usage, analyze performance, identify trends, troubleshoot issues, and improve the quality, reliability, security, and functionality of the Services, including developing new features and enhancements.
Analytics and Usage Insights. To understand how the Services are used, measure engagement and effectiveness, generate aggregated and de-identified insights, and support internal research, benchmarking, and reporting activities.
Communications and Marketing (Where Permitted). To respond to inquiries, provide service-related notifications, send administrative communications, and, where permitted by applicable law and your preferences, deliver marketing or promotional communications.
Security, Compliance, and Risk Management. To detect, prevent, investigate, and respond to security incidents, fraud, misuse, or violations of our terms; protect the rights and safety of iTELL, our Customers, users, and third parties; and comply with applicable legal and regulatory obligations.
We do not use learner data for advertising or unrelated profiling.
5. Artificial Intelligence & Automated Processing
AI-Enabled Features
iTELL incorporates artificial intelligence and machine-learning technologies within the Services to support learning, assessment, and instructional effectiveness. These AI-enabled features are designed to operate within the context of the learning materials and configurations provided by Customers and are intended to assist users rather than replace human instruction or decision-making.
AI-enabled features may be used to generate interactive learning activities from customer-provided content, deliver formative feedback to learners, evaluate and score written responses, and support comprehension through structured, context-aware dialog interactions. The use of AI within the Services is limited to these educational and instructional purposes and is not designed to produce independent, autonomous, or high-stakes decisions about users.
Our AI Products
Our AI Products are designed for the following functions:
- Generation and manipulation of learning content within iTELL's content management system
- Chat-based feedback and learning support within the iTELL application
- Scoring of written responses to learning activities within the iTELL application
AI Data Handling and Use Limitations
Personal information and other data processed through AI-enabled features are handled in accordance with this Privacy Policy and applicable contractual obligations. User inputs are processed solely for the purpose of providing the requested AI-enabled functionality within the Services, such as generating feedback or supporting learning interactions.
iTELL does not use user inputs, learner data, or AI outputs to train public or third-party artificial intelligence models. AI outputs generated within the Services are context-specific, non-persistent, and limited to the instructional use case for which they were generated.
Customers retain control over whether AI-enabled features are activated within their deployment of the Services and may configure or disable such features in accordance with their internal policies and instructional requirements.
Third-Party Infrastructure
AI features may rely on secure cloud infrastructure providers under contractual confidentiality and security obligations. iTELL does not share data with third party providers who use that data for model training.
6. How We Share Information
We may share personal information only in the following circumstances:
A. Service Providers
With vendors that support:
- Hosting and infrastructure
- Security monitoring
- Analytics
- Customer support
- Payment processing (if applicable)
Access is limited to what is necessary to perform services.
B. Customer-Directed Sharing
At the explicit direction of a Customer (e.g., exports, LMS integrations).
C. Legal & Safety Reasons
When required to:
- Comply with law or legal process
- Enforce agreements
- Protect users, Customers, or the public
D. Business Transactions
In connection with mergers, acquisitions, financing, or asset sales.
iTELL does not sell personal information.
7. Data Retention
We retain personal information only for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, unless a longer retention period is required or permitted by applicable law, regulation, or contractual obligation, including for tax, accounting, audit, or compliance purposes. Except as otherwise required by law, personal information is generally retained for the duration of an active account or customer relationship.
When personal information is no longer required for a legitimate business purpose, we take reasonable steps to delete, anonymize, or de-identify such information. Where immediate deletion is not feasible—for example, due to technical limitations or the existence of secure backup archives—we will securely store the information, restrict access to it, and isolate it from further processing until deletion or anonymization is practicable.

iTELL implements reasonable administrative, technical, and organizational safeguards, including:
We maintain reasonable administrative, technical, and organizational safeguards designed to protect the security, confidentiality, and integrity of personal information processed through the Services. These measures are intended to reduce the risk of unauthorized access, disclosure, alteration, or destruction of personal information.
Notwithstanding these safeguards, no method of transmission over the Internet or method of electronic storage is completely secure. Accordingly, we cannot guarantee absolute security, and we do not warrant that personal information will be immune from unauthorized access, disclosure, or misuse. To the extent permitted by law, you acknowledge that the transmission of personal information to and from the Services occurs at your own risk and that you are responsible for accessing the Services through secure networks and environments.
9. Children's Privacy
The Services are not directed to, and are not intended for use by, individuals under the age of eighteen (18). iTELL does not knowingly collect, solicit, or process personal information from children under the age of eighteen, nor does it knowingly sell or disclose such information.
By accessing or using the Services, you represent and warrant that you are at least eighteen (18) years of age, or that you are the parent or legal guardian of a minor and have provided all legally required consents for such minor's use of the Services.
If iTELL becomes aware that personal information has been collected from an individual under the age of eighteen without appropriate authorization, we will take commercially reasonable steps to promptly deactivate the associated account and delete such information from our systems, subject to applicable legal and technical requirements.

10. Your Privacy Rights
Withdrawing Consent
Where we rely on your consent as the legal basis for processing your personal information, you have the right to withdraw such consent at any time, subject to applicable law. Consent may be express or implied, depending on the circumstances and governing legal requirements.
Requests to withdraw consent may be submitted using the contact information provided in the section titled "How Can You Contact Us About This Notice?" below. Withdrawal of consent will not affect the lawfulness of any processing conducted prior to the effective date of withdrawal, nor will it affect processing conducted on other lawful bases where permitted by applicable law.
Account Access Update, and Deletion
You may review, update, or modify certain personal information associated with your account at any time by accessing your account settings or by contacting us using the contact information provided below.
Upon a verified request to terminate your account, we will deactivate or delete your account and associated personal information from our active systems, subject to applicable legal, contractual, and technical requirements. Notwithstanding the foregoing, we may retain certain information as necessary to comply with legal obligations, resolve disputes, prevent fraud or misuse, enforce our agreements, or for other legitimate business purposes permitted by law.

Most web browsers are configured to accept cookies by default. You may modify your browser settings to remove or reject cookies; however, doing so may limit the availability or functionality of certain features of the Services.

11. Do-Not-Track Signals
Certain web browsers, mobile operating systems, and mobile applications offer a "Do-Not-Track" ("DNT") signal or similar mechanism that allows users to indicate a preference regarding the collection of data about their online activities. At present, there is no universally accepted or legally mandated standard for recognizing or responding to DNT signals.
Accordingly, iTELL does not currently respond to DNT browser signals or other automated mechanisms that communicate a preference not to be tracked. If a binding industry standard or applicable legal requirement governing DNT signals is adopted in the future, we will update this Privacy Policy to describe our practices in accordance with such requirements.
California law requires disclosure of how businesses respond to DNT signals. Consistent with the foregoing, iTELL does not respond to DNT signals at this time due to the absence of an applicable technical or legal standard.

Use and Retention of Personal Information
We use and retain personal information as reasonably necessary to provide the Services and for legitimate business purposes consistent with this Privacy Policy. Except as otherwise required or permitted by applicable law, personal information is generally retained for the duration of the applicable user account or customer relationship.
For illustrative purposes:
- Identifiers (Category A): retained for as long as the user maintains an active account
- Protected classification information (Category C), if collected: retained for as long as the user maintains an active account

We may also use personal information for internal business purposes, including internal research, product development, and service improvement. Such uses do not constitute the "sale" or "sharing" of personal information under applicable U.S. state privacy laws.
iTELL has not sold, shared, or disclosed personal information for cross-context behavioral advertising or other commercial purposes during the preceding twelve (12) months and does not intend to do so in the future.
Your Privacy Rights
Depending on your state of residence, you may have certain rights under applicable U.S. state data protection laws. These rights are subject to limitations and exceptions provided by law and may include the right to:

Exercising Your Rights

Where permitted by applicable law, you may designate an authorized agent to submit a request on your behalf. We may deny requests submitted by an authorized agent that do not include sufficient proof of authorization.
Verification of Requests
To protect your privacy and security, we may take reasonable steps to verify your identity before responding to a request. Verification may involve matching information you provide with information already maintained by us or requesting additional information solely for verification or fraud-prevention purposes. Any additional information collected for verification will be used only for that purpose and deleted once verification is complete.
Requests submitted through authorized agents may require additional verification, including written authorization signed by you.
Appeals
If we decline to take action in response to your request, you may appeal our decision by contacting us at hello@itell.ai. We will respond to appeals in accordance with applicable law and provide a written explanation of our decision. Where permitted, you may also have the right to submit a complaint to your state attorney general.

We may revise this Privacy Policy from time to time to reflect changes in our practices, technologies, legal requirements, or other operational considerations. Any updates will be effective upon posting and will be identified by an updated "Last Updated" or "Revised" date at the top of this Privacy Policy.
If we make material changes to this Privacy Policy, we may provide notice through the Services or by other reasonable means, including direct notification where appropriate. We encourage you to review this Privacy Policy periodically to remain informed about how we collect, use, and protect personal information.
